Article 1 – Introductory Provisions

1.1. These official rules (the “Rules”) govern the consumer competition entitled “Win a Holiday with Lerni” (the “Competition”), organised by Lerni s.r.o., with its registered office at Kupeckého 320/33, 040 01 Košice – Juh, Slovak Republic, Company ID No. 47 802 278, Tax ID No. 2024105611, VAT ID No. SK2024105611, registered in the Commercial Register of the Municipal Court Košice, Section Sro, Insert No. 35974/V (the “Organiser”).

1.2. The Competition is a consumer promotional competition under the applicable laws of the Slovak Republic. It is not a game of chance or gambling activity within the meaning of Act No. 30/2019 Coll. on Gambling Games, as amended. No purchase is necessary to enter, because a participant may qualify by subscribing to the Organiser’s newsletter in accordance with these Rules. Where a participant chooses to enter by purchasing a product, the product is purchased at its ordinary retail price and the purchase does not constitute a stake or wager. The announcement of the Competition by the Organiser constitutes a public promise pursuant to Section 850 et seq. of Act No. 40/1964 Coll., the Slovak Civil Code, as amended.

1.3. These Rules are the sole document bindingly governing the Competition for participants whose delivery address is located in one of the Eligible Countries defined in Article 3. The Organiser may amend these Rules by a written amendment published in the same manner as the original Rules. Once the Competition has commenced, the Organiser shall not worsen the conditions applicable to participants who have already validly entered the Competition.

1.4. The Competition is governed by the laws of the Slovak Republic, in particular Act No. 40/1964 Coll., the Slovak Civil Code, Act No. 108/2024 Coll. on Consumer Protection, Act No. 18/2018 Coll. on Personal Data Protection, Regulation (EU) 2016/679 (GDPR), and other applicable legislation, without prejudice to any mandatory consumer-protection provisions applicable in the participant’s country.

Article 2 – Purpose and Duration of the Competition

2.1. The purpose of the Competition is to promote Colormag products offered by the Organiser, increase awareness of the Lerni brand and build a long-term relationship with customers in the Eligible Countries.

2.2. The Competition begins on 24 July 2026 at 00:00 Central European Time and ends on 31 August 2026 at 23:59 Central European Time (CET/CEST, as applicable). Purchases and newsletter registrations completed outside this period shall not be included in the Competition.

2.3. The Competition will be evaluated and the winners will be selected by a random selection tool between 1 September and 7 September 2026. The winners will be publicly announced no later than 7 September 2026.

Article 3 – Territorial Scope

3.1. The Competition is open only to participants with a valid delivery address in one of the following countries (the “Eligible Countries”): France, Slovenia, Croatia, Austria, Luxembourg and Romania. Entries connected with a delivery address outside the Eligible Countries are not eligible.

3.2. For entries obtained through a purchase, eligibility is determined exclusively by the delivery address stated in the relevant order. For participants entering only by subscribing to the newsletter, the participant must have and, if selected as a potential winner, provide a valid delivery address in one of the Eligible Countries. Nationality, permanent residence, billing address or the country from which the website was accessed is not decisive. The Organiser is not obliged to deliver a prize outside the Eligible Countries.

3.3. The Competition applies to qualifying purchases made through the Organiser’s online store and to qualifying newsletter registrations completed through a form made available by the Organiser during the Competition period.

Article 4 – Conditions of Participation

4.1. The Competition may be entered by any natural person aged 18 or over who has a valid delivery address in an Eligible Country. A person under 18 may participate only with the prior written consent of their legal representative, who must also be authorised to accept any prize on the minor’s behalf. The delivery-address requirement set out in Article 3 applies in all cases.

4.2. The Competition is intended exclusively for natural persons acting as consumers. Legal entities, self-employed persons acting in the course of business, institutions, kindergartens, primary schools and other organisations are not eligible to participate.

4.3. Employees of the Organiser, persons in a similar relationship with the Organiser, persons involved in preparing or administering the Competition, and their direct family members, siblings and spouses are excluded from participation.

4.4. The Organiser’s ambassadors may participate under the same conditions as other participants, provided that they satisfy all requirements set out in these Rules.

4.5. A participant enters the Competition by satisfying at least one of the following basic entry conditions during the Competition period (24 July 2026 to 31 August 2026):

a) Purchase of Colormag: the participant purchases at least one Colormag magnetic building set through the Organiser’s online store during the Competition period. The participant receives 10 entries in the prize draw for each Colormag set purchased. Each additional Colormag set purchased during the Competition period gives the participant a further 10 entries.

b) Newsletter subscription: the participant subscribes to the Organiser’s newsletter using a valid email address during the Competition period and completes any confirmation step required for the subscription. The participant receives 5 entries in the prize draw. This benefit may be obtained only once. A person who was already subscribed to the newsletter before the Competition began does not receive entries on this basis.

A participant may satisfy both basic entry conditions. In that case, the entries obtained through purchases and through the newsletter subscription are added together. For example, a participant who purchases one Colormag set and newly subscribes to the newsletter receives 15 entries in total.

Participation begins when at least one of the basic entry conditions above has been validly satisfied. Bonus activities under Article 5 may increase the participant’s number of entries but do not create eligibility on their own.

4.6. Any product used to qualify for the Competition must be purchased at its ordinary retail price without any artificially increased price difference. A purchase made at the ordinary retail price does not constitute a stake or wager under gambling legislation.

4.7. If a participant cancels or returns an order, or returns a Colormag set for which purchase-based entries were awarded, the entries relating to that returned or cancelled product shall be cancelled. The participant shall remain in the Competition if they still satisfy another valid basic entry condition, such as a valid newsletter entry or another qualifying purchase. The participant shall be excluded only if no valid basic entry condition remains. Before confirming a winner, the Organiser may verify that the relevant order is valid, paid and not cancelled or returned. Invalid, unpaid, cancelled or returned purchases do not generate valid entries.

6.3. The Organiser will contact the winners within 7 calendar days after the Competition has been evaluated, using the email address provided in the relevant order or newsletter registration. A winner must provide the cooperation and information necessary to verify eligibility and deliver the prize within 30 calendar days after being contacted. If the winner does not provide the required cooperation within that period, or cannot provide a valid delivery address in an Eligible Country, the right to the prize expires and the Organiser will draw a replacement winner in accordance with Article 5.2.

Article 7 – Mini-Competition on Social Media

7.1. At the same time as the main Competition, the Organiser may run a mini-competition on its official Instagram and Facebook profiles identified in the relevant competition post. The mini-competition forms part of the Competition and is governed by these Rules to the extent applicable.

7.2. The only mandatory condition for entering a mini-competition round is posting a comment under the relevant competition post on Instagram or Facebook. Unless the relevant post states otherwise, the number of comments from one participant is not limited and each valid comment enters the participant into the draw for that round.

7.3. Sharing the competition post or tagging other persons is not a mandatory condition of entry. These actions are voluntary and do not provide the participant with any additional advantage unless expressly and lawfully stated otherwise in the relevant post.

7.4. Mini-competition rounds may be held during the Competition period, normally on a Monday or Tuesday, in one or more of the Eligible Countries expressly identified in the relevant social-media post. Unless the relevant post states otherwise, one winner will be selected for each participating Eligible Country and the prize for each round will be a voucher worth EUR 100 for use in the Organiser’s online store. The dates and number of individual rounds will be specified in the relevant competition posts and all rounds must take place between 24 July and 31 August 2026.

Article 8 – Compliance with Meta Platform Rules

8.1. The Competition, including any mini-competition, is not sponsored, endorsed, administered by or associated with Meta Platforms, Inc., Facebook or Instagram. By participating, each participant releases Meta Platforms, Inc., Facebook and Instagram from any liability arising from or connected with participation in the Competition, to the extent permitted by law.

8.2. Each competition post published on Facebook or Instagram must contain wording substantially equivalent to the following: “This competition is not organised, sponsored, endorsed or administered by, or associated with, Meta, Facebook or Instagram. The complete Competition Rules are available at [link].”

8.3. The Organiser does not require participants to share posts or tag other persons as a mandatory condition of participation. This requirement applies to all social-media mini-competition rounds under these Rules.

Article 9 – Personal Data Protection (GDPR)

9.1. Data controller: Lerni s.r.o., Kupeckého 320/33, 040 01 Košice, Slovak Republic, Company ID No. 47 802 278. Contact email for data-protection matters: info@lerni.sk.

9.2. The legal bases for processing are: (a) Article 6(1)(b) GDPR – performance of the Competition relationship established by these Rules; (b) Article 6(1)(f) GDPR – the Organiser’s legitimate interest in properly administering, protecting and evaluating the Competition; and (c) Article 6(1)(a) GDPR – the participant’s consent, where personal data are processed for newsletter or SMS marketing. Participation in the Competition itself does not replace or imply consent to marketing communications.

9.3. The categories of personal data processed may include: email address, name and surname, delivery country and delivery address, order information including the number of Colormag sets purchased, newsletter and SMS subscription status, review status, and information required to verify and deliver a prize. For a participant who enters only through the newsletter, the delivery address will normally be requested only if needed to verify eligibility or deliver a prize. For a social-media mini-competition, the Organiser may process the participant’s social-media name or username and the content of their comments.

9.4. Personal data are processed for the purposes of administering the Competition, allocating entries, conducting the draw, verifying the conditions of participation, contacting winners and arranging delivery or provision of prizes.

9.5. Participants’ personal data will be processed for the duration of the Competition and subsequently for 12 months from the announcement of the winners for the purposes of handling complaints and establishing, exercising or defending legal claims. After that period, the data will be deleted unless another valid legal basis requires or permits longer retention.

9.6. Under the GDPR, each participant has the right of access to personal data (Article 15), rectification (Article 16), erasure (Article 17), restriction of processing (Article 18), data portability (Article 20), objection to processing (Article 21), and the right to lodge a complaint with the competent supervisory authority. The participant may also lodge a complaint with the Office for Personal Data Protection of the Slovak Republic. Exercising the right to erasure during the Competition may make it impossible to continue administering the participant’s entry and may therefore result in exclusion where the necessary data can no longer be processed.

9.7. Data obtained through Klaviyo or another marketing platform, including newsletter and SMS subscription status, may be used to verify basic or bonus entries. Marketing communications will be sent only on the basis of the specific consent provided for the relevant communication channel. Data collected solely for the administration of the Competition will not be used for unrelated future marketing without a valid legal basis.

9.8. The Organiser may process personal data through service providers acting as processors, in particular providers of technical, website, software, email, logistics and prize-fulfilment services. Such processors process personal data on the basis of a contract, on behalf of the Organiser and in accordance with its instructions.

9.9. The personal data of winners may also be processed by the Organiser’s external advisers, including accounting, tax and legal advisers, where necessary for accounting, tax, legal or regulatory purposes connected with the Competition.

9.10. Where personal data are transferred outside the European Economic Area, the Organiser shall ensure that the transfer is carried out in accordance with the GDPR and that appropriate safeguards are used where required.

9.11. The Organiser does not use participants’ personal data for profiling. Winner selection is carried out by random draw in accordance with Article 5 and is not based on an assessment of personal characteristics or behaviour.

Article 10 – Tax Obligations

10.1. Prizes may be subject to tax, social-security or other public-law obligations under the laws of the country in which the winner is tax resident or otherwise liable for tax.

10.2. The Organiser is not responsible for satisfying the winner’s personal tax or social-security obligations and will not pay income tax or other charges on behalf of the winner, unless required by mandatory law. Each winner is responsible for determining and settling any obligations arising from the prize under the laws applicable to them.

10.3. These Rules do not constitute tax advice for any Eligible Country. Winners should obtain independent advice where necessary, particularly in relation to higher-value prizes.

Article 11 – Amendment of the Rules and Early Termination

11.1. The Organiser reserves the right to amend the Rules, shorten, suspend or terminate the Competition in the event of force majeure, serious technical problems, suspected breaches of the Rules, attempts to improperly influence the results, or other serious reasons. Any amendment will be published without undue delay in the same manner as the original Rules. The Organiser shall not use this provision to arbitrarily disadvantage participants who have already validly entered the Competition.

11.2. If the Competition is terminated or cancelled early, the Organiser will inform participants without undue delay through its website and, where reasonably possible, by email. Unless mandatory law provides otherwise, participants will not be entitled to compensation for costs or expectations connected with participation.

Article 12 – Final Provisions

12.1. By entering the Competition, each participant confirms that they have read and accept these Rules and agrees to comply with them. These Rules take effect on the date on which this amended version is published on the Organiser’s website.

12.2. If a participant acts in breach of these Rules, attempts fraud or obtains entries by an unauthorised method, they may be excluded from the Competition and lose any right to a prize. If a breach is discovered after a prize has been provided, the Organiser may request its return to the extent permitted by law.

12.3. The Organiser may refuse to provide a prize to a winner who: (a) has breached applicable laws of the Slovak Republic, the European Union or the relevant Eligible Country; (b) participated in the name of another person without that person’s knowledge or consent; or (c) attempted to satisfy the Competition conditions through dishonest, abusive or unlawful conduct.

12.4. The results of the draw are final, subject to the participant’s rights under mandatory law. In the event of uncertainty regarding compliance with these Rules, the Organiser will make the final administrative decision, without prejudice to the participant’s right to contact a competent authority or court.

12.5. The Organiser will not reimburse participants for costs incurred in connection with participation, including internet, postage or telephone costs, unless mandatory law provides otherwise.

12.6. The supervisory authority for the Organiser’s business activities in the Slovak Republic is the Slovak Trade Inspection, Inspectorate of the Slovak Trade Inspection for the Košice Region, Vrátna 3, 043 79 Košice, Slovak Republic.

12.7. Legal relationships between the Organiser and participants that are not expressly regulated by these Rules are governed by the laws of the Slovak Republic. This choice of law and any reference to Slovak courts shall not deprive a consumer of mandatory protections or jurisdiction rights granted by the law of their country of habitual residence or by applicable European Union law.

12.8. These Rules are binding on all participants entering the Competition under this English-language version from the date of their publication.
